1. Who you're contracting with
pARTy is operated by Chelsea Henson (a sole proprietor, "we", "us", "our"). By creating an account or using pARTy, you agree to these Terms.
2. Acceptance
By continuing to use the service, you confirm you have read and agree to these Terms. If you do not agree, do not use pARTy.
3. The service
pARTy is an AI-powered celebration concierge that helps you plan events, suggests venues, vendors, and gifts, and produces personalized plans. Suggestions are informational — you are responsible for confirming availability, prices, and details with any third party before booking or purchasing.
4. Accounts
You must provide accurate information, keep your credentials confidential, and be responsible for activity on your account. You must be of legal age in your jurisdiction.
5. Acceptable use
You agree not to:
- Use the service unlawfully or for fraud, spam, or harassment
- Infringe anyone's intellectual property rights
- Interfere with security (probing, scraping, malware, reverse engineering)
- Resell, redistribute, or circumvent technical limits of the service
- Use outputs to generate illegal content, deepfakes, hate speech, or to jailbreak the AI
6. AI outputs
pARTy uses generative AI. Outputs may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for your prompts, how you use the outputs, verifying accuracy, and ensuring you have rights to any content you input. We may moderate, filter, or refuse outputs and may suspend accounts for repeated misuse.
7. Intellectual property
We retain all rights to the pARTy service, software, branding, and documentation. You are granted a limited, non-exclusive, non-transferable right to use the service within your plan. You retain rights to content you input; you grant us a limited license to host and process it solely to provide the service.
8. Payments, subscriptions, refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. See our Refund Policy for our money-back guarantee.
9. Suspension and termination
We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated/serious policy violations. On termination your access ends; you may export your data within a reasonable window.
10. Disclaimers
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties (merchantability, fitness for purpose, non-infringement). We do not guarantee uninterrupted or error-free performance.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability for any claim is limited to the fees you paid to us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages (lost profits, data, goodwill). Nothing excludes liability for fraud, death, or personal injury where prohibited by law.
12. Indemnity
You will indemnify us against claims arising from your content, your unlawful use of the service, or your violation of these Terms.
13. Governing law
These Terms are governed by the laws of the United States and the state in which Chelsea Henson resides, without regard to conflict-of-laws rules. Disputes will be resolved in the competent courts of that jurisdiction.
14. Changes
We may update these Terms. Continued use after changes means you accept the updated Terms.
